Terms of Service

These Terms of Service ("Terms") govern access to and use of Loam, a settlement platform for global agricultural trade operated by AgriDex Ltd. ("AgriDex", "we", "us"). By creating an account, accessing the platform, or moving funds through Loam, you agree to these Terms on behalf of yourself and the organisation you represent.

Acceptance and eligibility

You must be authorised to bind your organisation. Loam is a business-to-business service; it is not offered to consumers. Access requires a verified organisation account and may be restricted by jurisdiction or sanctions screening.

Accounts and organisations

You are responsible for the accuracy of account information, for the actions of every member you invite, and for safeguarding credentials. Organisation admins control member access and bear responsibility for their members' activity.

Know-Your-Business and compliance

Every counterparty completes KYB verification before transacting. You agree to provide accurate verification documents and to keep them current. We may suspend or decline activity to meet anti-money-laundering (AML), sanctions, and trade-compliance obligations.

The Loam service

Loam facilitates listings, offers, trades, invoicing, payments, and settlement between verified organisations. We provide the platform and settlement rails; we are not a party to the underlying commercial contracts between you and your counterparties.

Funds, custody, and settlement

Fiat balances are held at tier-1 partner banks; stablecoin balances are held in regulated custody or a self-custody wallet you control. Client funds are segregated and never commingled with AgriDex operating funds. Settlement timing depends on the rails and partners involved. Loam is not a bank and does not pay interest on balances.

Fees

Fees are presented before you confirm a transaction and are set out in your order form or master agreement. You authorise us to deduct applicable fees from the relevant transaction or balance.

Acceptable use

You may not use Loam to launder funds, evade sanctions, commit fraud, infringe third-party rights, or interfere with the platform's operation or security. We may suspend access for breach.

Intellectual property

Loam, its software, brand, and content are owned by AgriDex or its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the platform for your business; no other rights are granted.

Third-party services

Settlement relies on banking, custody, identity, and blockchain partners. Their services are governed by their own terms, and their availability can affect Loam.

Disclaimers

The platform is provided "as is" and "as available" to the fullest extent permitted by law. We do not warrant uninterrupted or error-free operation, nor the performance of any counterparty.

Limitation of liability

To the maximum extent permitted by law, AgriDex is not liable for indirect, incidental, or consequential losses, or for loss of profit, data, or goodwill. Our aggregate liability is limited as set out in your master agreement.

Indemnity

You will indemnify AgriDex against claims arising from your breach of these Terms, your misuse of the platform, or your underlying commercial dealings.

Suspension and termination

We may suspend or terminate access for breach, legal requirement, or risk to the platform. You may close your account subject to settlement of outstanding obligations. Provisions that by their nature survive termination continue to apply.

Changes to these Terms

We may update these Terms; material changes will be notified by email or in-platform. Continued use after changes take effect constitutes acceptance.

Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except where your master agreement states otherwise.
